If an Entrant is not eligible, or does not agree to these Official Rules, then such Entrant does not have Kabuni’s permission to enter the Contest (as defined below).
Go12x12 is a contest sponsored by Kabuni Technologies Inc. (“Kabuni”) to find the next Kabuni International Ambassador. Subject to the terms and conditions of these Official Rules, the Grand Prize Winner (as defined below) will win the once in a lifetime opportunity to be part of the Kabuni story over a 12-month period, travelling to 12 countries, living Kabuni values in each community they visit (the “Contest”). The 12 countries are anticipated to be Canada, USA, Brazil, UK, Spain, Italy, Germany, South Africa, Australia, India, Hong Kong, and Japan, but remain subject to change in Kabuni’s sole discretion.
Individual participants (each, an “Entrant”) can enter the Contest by filling out the entry form on the official Contest website, agreeing to these Official Rules, downloading the Kabuni mobile app (“Kabuni App”), creating an inspiration board on the Kabuni App (“Entrant Inspiration Board”), and inviting friends and family—who will also download the app—to contribute to and follow this Entrant Inspiration Board.
Entrants can share their Entrant Inspiration Boards across their social media channels and invite their networks to follow them on the Kabuni App. The 12 Entrant Inspiration Boards that receive the highest engagement through number of follows on the Kabuni App by the end of the Contest Period (as defined below) will move into the final judging round as finalists (each, a “Finalist”).
The 12 Finalists will be interviewed by a panel of judges who will also review their Entrant Inspiration Boards. During their interview, Finalists will need to share what they think makes them stand out from the rest of the Finalists and qualifies them to be the next Kabuni International Ambassador - including answering the following questions (the “Why Questions”):
1) What's your story? Tell us what we should know about you.
2) What do you believe is real, true, and important about the impact of design on the world?
3) We believe in creating better living experiences through design. What does it mean to you to be a citizen of change, and how does design facilitate that?
4) Why should YOU be the next Kabuni International Ambassador?
The panel of judges will ultimately choose the 1 winner who will have the opportunity to become the Kabuni International Ambassador (the “Grand Prize Winner”).
WHO MAY ENTER:
In order to be eligible, Entrants must be at least 21 years old and the age of majority in the Entrant’s jurisdiction of residence at the commencement of the Ambassador Term (see "Grand Prize - Details", below). The Contest is intended for participation by Entrants from Canada, the United States, the United Kingdom and Australia only and only during the Contest Period, and Kabuni reserves the right to open the Contest to Entrants from other jurisdictions at any time during the Contest Period. Residents of the province of Quebec are not eligible to participate in the Contest. Employees of Kabuni and its parent and affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. This Contest is subject to all applicable federal, provincial, state and local laws and regulations. Winning a prize is contingent upon fulfilling all requirements set forth herein. Void where prohibited, taxed or restricted by law.
In addition to the foregoing eligibility requirements, in order to be eligible to enter the Contest, you must have access to an Apple iPhone or iPad.
This Contest is sponsored by Kabuni Technologies, Inc., 111-375 Water Street, Vancouver, BC V6B 5C6, Canada.
The initial phase of the Contest begins on February 26, 2016 at 12:00 p.m. Pacific Standard (“PST”) and ends at 11:59:59 p.m. (PST) on April 30, 2016 (“Submission Period”). During the Submission Period, Entrants will be able to submit their application to participate by filling out the entry form on the official Contest web site. The next phase of the Contest begins at 12:00:00 a.m. (PST) on May 1, 2016 and ends at 11:59:00 p.m. (PST) on September 30, 2016 (“Inspiration Period” and, together with the Submission Period, the “Contest Period”). During the Inspiration Period, Entrants can create their Entrant Inspiration Boards and invite friends and family to follow them on the Kabuni App. In addition, new Entrants may continue to submit their application to participate in the Contest during the Inspiration Period. All times are determined according to the time in Vancouver, British Columbia. All Entries (as defined below) must be received by 11:59:59 p.m. (PST) on September 30, 2016. Kabuni’s computer is the official time keeping device for this Contest. The Contest is a contest of skill. Odds of winning the Contest depend on the number of eligible entries received and the skill of the Entrants during the Contest Period.
HOW TO ENTER:
Step 1: Eligible Entrants must submit their application to participate by filling out the entry form on the official Contest web site.
Step 2: Entrants must create an active profile on the Kabuni App by downloading Kabuni App from the Apple App Store and registering their account with Kabuni (if not done previously).
Step 3: During the Inspiration Period, Entrants must create at least 1 Entrant Inspiration Board that captures their inspirations and best displays why they should be chosen as the Kabuni International Ambassador. Entrants must make the Entrant Inspiration Board visible to the public.
Step 4: Entrants invite their family and friends to the Kabuni App to collaborate on their Entrant Inspiration Board and to follow their Entrant Inspiration Board. The 12 Entrant Inspiration Boards with the largest number of followers at the end of the Contest Period will be eligible to be Finalists and proceed to the judging round as described below.
If no suitable Finalists can be selected through the Contest Period, Kabuni may choose to select Finalists via an alternative selection process at Kabuni’s discretion.
All Entrants must have fully completed all steps described above during the Contest Period in order to be considered for the Contest. Kabuni reserves the right, in its sole discretion to disqualify any Entrant should they at any stage and for any reason supply untruthful, incomplete, inaccurate or misleading personal details and/or information. Incomplete or late entries will be disqualified at Kabuni’s discretion. Only one profile and one Entrant Inspiration Board per person is permitted (“Entry”). If any person submits more than one Entrant Inspiration Board, only one Entrant Inspiration Board received by Kabuni will be considered. No mail-in entry method is available for this Contest.
By entering the Contest, each Entrant represents, acknowledges and warrants that their submitted Entry does not infringe on the copyrights, trademarks, moral rights, rights of privacy/publicity or intellectual property rights of any person or entity. Entries that include works of art will be accepted as long as they do not constitute copyright infringement or fraud, provided that Entrants must be prepared to provide a release form as described below.
If an Entry includes other people, the applicable Entrant must be prepared to provide a signed written personal release from all persons who appear in the Entry, authorizing use of the Entry as provided below under “License.” If an Entrant is unable to provide a personal release upon request by Kabuni and in the form provided by Kabuni, then their Entry may be disqualified. Entrants need not send the release with their Entry. Kabuni contact an Entrant if a release is needed.
All Entries will be judged in accordance with the Judging Criteria (as defined below). Entries must not, in the sole and unfettered discretion of Kabuni, contain obscene, provocative, defamatory, sexually explicit, or otherwise objectionable or inappropriate content. Entries deemed inappropriate will be disqualified.
In case of dispute as to the identity of any Entrant, the Entry will be declared made by the Authorized Account Holder at time of submission. As used in these Official Rules, "Authorized Account Holder" is defined as the natural person who is assigned an email address by an internet access provider, online service provider, or other organization (e.g., business, educational, institution, etc.) responsible for assigning email addresses or the domain associated with the submitted email address or who otherwise has primary control over the account. Any potential winner may be requested to provide Kabuni with proof that such winner is the Authorized Account Holder of the email address associated with the winning Entry.
The Released Parties (defined below) are not responsible for lost, late, incomplete, illegible, incorrect, damaged, delayed, garbled, unintelligible, undelivered or misdirected Entries, which will be disqualified. Kabuni is not responsible for any failure of the website or app during the Contest Period, including any telephone problems or technical malfunction of any computer on-line systems, servers, access providers, computer equipment, software, failure of any e-mail or entry to be received on account of traffic congestion on the internet or at the website, or any combination thereof including any injury or damage to an Entrant’s or any other person’s computer related to or resulting from downloading any material related to the Contest, all of which may affect a person’s ability to participate in the Contest. Kabuni will have the unrestricted right to use all Entries and all content therein for marketing and promotional purposes.
JUDGING CRITERIA AND WINNER SELECTION:
THE CONTEST DOES NOT INVOLVE ANY ELEMENT OF CHANCE. Winners are selected by Kabuni in its sole and absolute discretion, based solely on their skill. In selecting the winners, Kabuni will seek input from a panel of judges composed by individuals determined by Kabuni (“Judges”).
The Judges will assess the Entries of the 12 Finalists based on the following criteria (“Judging Criteria”):
1) Creative Criteria
The Judges will assess Entrant creativity as expressed through their Entrant Inspiration Board and how this communicates their responses to the Why Questions.
The Judges will also interview each of the Finalists to assess how well they are positioned to represent Kabuni on the global level as the Kabuni International Ambassador.
Kabuni’s decisions, based on the recommendation of the Judges and Judging Criteria, are final and are not open to review. Finalists will be chosen at the end of the Contest Period and will be notified by email using the contact information provided in the Entry. Kabuni reserves the right to select fewer than the official number of Finalists.
Each Entrant is responsible for the accuracy of the contact information included in their Entry. If any notification sent to an Entrant or potential Finalist or Grand Prize Winner is returned as undeliverable, that Entrant may be disqualified at Kabuni’s sole discretion, and an alternate Entry may be selected based on the Judging Criteria set forth above.
By entering the Contest, each Entrant grants an irrevocable, perpetual, worldwide non-exclusive license to Kabuni and its designees, licensees or affiliates (the “Authorized Parties”), to reproduce, distribute, display and create derivative works of his or her Entry (along with a name credit) in connection with the Contest and promotion of the Contest, in any media now or hereafter known, including, but not limited to display at a potential exhibition of winners and publication online highlighting Entries or winners of the Contest. You consent to Kabuni doing or omitting to do any act that would otherwise infringe on your “moral rights” in your Entry. Display or publication of any Entry on an Authorized Party’s website does not indicate the Entrant will be selected as a winner. Authorized Parties will not be required to pay any additional consideration or seek any additional approval in connection with such use. Additionally, by entering, you grant to Authorized Parties the unrestricted right to use all statements made by you or those featured in your Entry in connection with the Contest, and of your or their pictures or likenesses, or choose not to do so, at their sole discretion. Authorized Parties will not be required to pay any additional consideration or seek any additional approval in connection with such use.
PERSONAL INFORMATION / OPT-IN:
By indicating acceptance of these Official Rules and an intention to participate in the Contest, each Entrant authorizes Kabuni to obtain, use, and transfer his or her name, address, and other information for the purpose of administering this Contest. Additionally, each Entrant is authorizing Kabuni to send them emails to the address entered on the Entry form regarding product offerings. The information that an Entrant provide in connection with the Entry process will be used by Kabuni, but will not be sold or provided to another company.
Kabuni will select up to twelve Finalists. From the Finalists, Kabuni will select one 1st Runner Up Winner (as defined below) and one Grand Prize Winner for the Contest. Kabuni plans to announce the winners on or before November 1, 2016 (though Kabuni retains the right to announce the winners at a later date).
1st Runner Up Prize – Details
The 1st Runner Up Prize consists of a trip to Vancouver to visit the offices and studio space operated by Kabuni. The Finalist chosen to win the 1st Runner Up Prize (the “1st Runner Up Winner”) will be provided reasonable travel to Vancouver BC (i.e. economy airfare (if applicable)) from the capital airport nearest the Entrant’s residence) and 3 nights’ accommodation in Vancouver BC (accommodation chosen by Kabuni).
Please note the aggregate retail value of the 1st Runner up Prize is approximately CDN$1,500 to CDN$4,000. No substitution, assignment or transfer of the prize is permitted, except by Kabuni, who has the right to substitute a prize with another of comparable or greater value.
Grand Prize – Details
One Finalist will be chosen as the Grand Prize Winner, who will receive the offer to become the Kabuni International Ambassador and be eligible to receive the following:
Before being accepted as the official Kabuni International Ambassador, the Grand Prize Winner will be required to enter into a separate agreement (the “Ambassador Contract”) with Kabuni which will establish the obligations of the Kabuni International Ambassador role.
Subject to agreement and signing of the Ambassador Contract, the Grand Prize Winner will be eligible for the following benefits:
● Paid travel to Vancouver BC and accommodation (each chosen by Kabuni) to complete Kabuni’s Ambassador onboarding program at Kabuni’s headquarters
● Paid flights to each of the 12 countries (economy fare)
● Paid accommodation chosen by Kabuni for the full duration of the 12-month period during which the Grand Prize Winner serves as the Kabuni International Ambassador (the “Ambassador Term”)
● Travel insurance on reasonable and customary terms
● A weekly allowance of CDN$700 per week to cover incidentals like food, local travel, etc. – paid in regular installments (as determined by Kabuni)
● The reasonable costs of obtaining travel visas permitting entry into each of the 12 countries
Subject to the terms of the Ambassador Contract, the Kabuni International Ambassador will be required to:
● Undertake any criminal history checks as required by Kabuni
● Provide character references as required by Kabuni
● Hold or have the ability to obtain a valid passport
● Obtain required travel visa documents
● Travel to the each of the 12 countries selected by Kabuni during the Ambassador Term
● Attend events as required/directed by Kabuni in each of the countries travelled to
● Attend onboarding training in Vancouver BC
● Attend publicity events required by Kabuni
● Organize and attend events
● Manage a social media channels
● Other obligations detailed in the Kabuni Ambassador Agreement
● Other requirements as directed by Kabuni
The Ambassador Term will run from January 2, 2017 to and including December 31, 2017, subject to change in Kabuni’s sole discretion.
Please note the aggregate retail value of the grand prize(s) is approximately CDN$100,000 to CDN$120,000. No substitution, assignment or transfer of the prize is permitted, except by Kabuni, who has the right to substitute a prize with another of comparable or greater value.
THE 1ST RUNNER-UP AND ALL OTHER FINALISTS WILL NOT RECEIVE THE GRAND PRIZE.
IF – FOR ANY REASON – THE GRAND PRIZE WINNER CANNOT TRAVEL ON THE DATES PROVIDED, THE GRAND PRIZE WILL BE FORFEITED AND NO ADDITIONAL PRIZE WILL BE AWARDED. THE GRAND PRIZE SHALL NOT INCLUDE ANY INCIDENTAL EXPENSES RELATED TO THE WINNER’S PRIZE, INCLUDING, WITHOUT LIMITATION, TICKETS AND TRAVEL FOR GUESTS, ATTIRE, FOOD OR BEVERAGES. IN ADDITION, KABUNI IS NOT LIABLE FOR THE PERFORMANCE OR FAILURE TO PERFORM OF ANY THIRD PARTY IN CONNECTION WITH THE CONTEST, THE PRIZES, OR ANY ENTRY.
IF – FOR ANY REASON – THE WINNER FAILS TO PERFORM HIS OR HER OBLIGATIONS SPECIFIED ABOVE DURING THE 12 MONTH AMBASSADOR TERM, THEN KABUNI WILL HAVE THE RIGHT TO TERMINATE THE AMBASSADOR TERM, DISMISS THE GRAND PRIZE WINNER AS THE KABUNI INTERNATIONAL AMBASSADOR, AND THE WINNER WILL FORFEIT ANY REMAINING TRAVEL AND PRIZES NOT YET RECEIVED.
IF THE GRAND PRIZE WINNER CANNOT RECEIVE THE GRAND PRIZE, OR IF THE AMBASSADOR TERM IS TERMINATED PRIOR TO THE END OF THE 12 MONTH PERIOD, THEN THE 1ST RUNNER UP WINNER MAY BE OFFERED THE OPPORTUNITY TO REPLACE THE GRAND PRIZE WINNER FOR THE REMAINDER OF THE AMBASSADOR TERM AS THE KABUNI INTERNATIONAL AMBASSADOR.
NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE OFFERING RULES, KABUNI RETAINS THE SOLE AND EXCLUSIVE DISCRETION TO TERMINATE THE GRAND PRIZE WINNER’S AMBASSADOR TERM AT ANY TIME AND CANCEL ANY REMAINING BENEFITS NOT YET RECEIVED BY THE GRAND PRIZE WINNER; PROVIDED, THAT KABUNI WILL PAY FOR RETURN TRAVEL TO THE GRAND PRIZE WINNER’S RESIDENCE AND PROVIDE THEM WITH A CDN$10,000 PAYMENT.
All expenses and incidental travel and costs not expressly communicated to the Grand Prize Winner at the time their Entry is chosen, including but not limited to, ground transportation, personal charges at lodging, security fees, taxes or other expenses or incidentals are the responsibility solely of the winners. Any portion of the 1st Runner Up Prize or Grand Prize (each a “Prize” and, collectively the “Prizes”), as applicable, that remains unused becomes the property of Kabuni.
Only the Prizes specified above will be awarded. Prizes are non-transferable, with no cash redemption or equivalent. All federal, provincial, state and local laws and regulations apply. EACH WINNER IS RESPONSIBLE FOR ALL TAXES AND FEES ASSOCIATED WITH PRIZE RECEIPT AND/OR USE. Kabuni shall only be responsible for awarding the number of prizes as stated in these Official Rules. Kabuni expressly disclaims any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use of Prizes awarded. Kabuni makes no representation or warranties concerning the appearance, safety or performance of any Prizes awarded. Kabuni reserves the right to substitute a Prize for one of equal or greater value if the designated Prize should become unavailable for any reason.
Except where prohibited, participation in the Contest constitutes each Entrant’s consent for Kabuni and its designees and partners to use his or her name, prize information, likeness, biographical data, contact information, city and state of residence for editorial, advertising, marketing, publicity, and administrative purposes in any media without further compensation.
PRIZE TERMS AND CONDITIONS:
Any potential winner must prove eligibility, including, without limitation, proof of age and residence within five (5) days of being notified as a potential winner. In the event of non-compliance by the potential winner, such potential winner shall be disqualified and all privileges otherwise due as the winner shall be terminated and an alternative potential winner may be chosen from among all of the remaining applicable eligible Entries received in Kabuni’s sole discretion. To claim a prize, each winner will be required to provide his or her correct full name, a valid, government-issued photo identification document, mailing address, date of birth, telephone number and e-mail address. Each potential winner may be subject to verification before a prize will be awarded. The winners are required to comply with any and all applicable federal, provincial, state and local laws, rules and regulations. The winners may be required, in Kabuni’s sole discretion, to sign an Affidavit of Eligibility, Liability/Publicity Release, and Certificate of Work Made for Hire/Copyright Assignment (collectively, the “Prize Acceptance Release”), together with such other documents as Kabuni may deem necessary or advisable in its sole discretion, and return them within ten (10) days of written notification or the prize may be forfeited and an alternate potential winner selected. Any person accompanying the winners during any portion of the Prize may be required, in Kabuni’s sole discretion, to sign and return a Companion Waiver prior to the Prize being awarded.
The winners will be solely responsible for all federal, provincial, state and/or local taxes, and for any other fees or costs associated with the Prize. Any stated average retail value (“ARV”) of the Prize is based on available information provided to Kabuni. Any difference in ARV at the time of awarding will not be awarded, and the value of any Prize awarded to a winner may be reported for tax purposes as required by law. EACH WINNER WILL BE REQUIRED TO PROVIDE KABUNI WITH A VALID TAX IDENTIFICATION NUMBER FOR TAX REPORTING PURPOSES BEFORE A PRIZE WILL BE AWARDED. For US residents, an IRS Form 1099 will be issued in the name of each winner for the total ARV of the prize, as stated above, in the calendar year the prize was won. Acceptance of a prize constitutes permission (except where prohibited) for Kabuni and Kabuni’s designees and partners to use the winners’ names, photograph, likeness, statements, biographical information, voice and address (city and state) for any and all public relations, advertising and/or Contest purposes as determined by Kabuni, in all forms of media and by all manners (now and hereafter known), in perpetuity, without notice, consent, review or approval or further compensation.
If any correspondence by the Judges or any Prize is returned as undeliverable, the corresponding Prize will be forfeited and will be awarded to an alternate winner in accordance with the Judging Criteria. Should a winner make any false statement(s) in any document referenced above, the winner will be required to promptly return to Kabuni his or her Prize. In the event there is a dispute of the Entrant’s identity, the prize will be awarded to the Authorized Account Holder.
LIMITATION OF LIABILITY:
By participating in this Contest, Entrants agree to release, hold harmless, and agree not to institute any claim against Kabuni, co-sponsors, Apple and each of their respective parent companies, affiliates, subsidiaries, suppliers, distributors, advertising agencies and each of their respective officers, directors, employees, agents, and representatives (collectively, "Released Parties") from any and all liability whatsoever for any injuries, losses or damages of any kind arising from or in connection with, either directly or indirectly, (1) the awarding, acceptance, receipt, possession, use and/or misuse of any Prize awarded herein; (2) participation in the Contest or any Prize related activities, including but not limited to traveling to or from any Prize related activity; (3) viruses or any downloading or other problems with this Contest; (4) any typographical or other error in these Official Rules, or the announcement of offering of any Prize; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Contest or receipt, use, or misuse of any Prize or any travel or events in connection therewith (the “Released Matters”). Upon delivery of the Prize to a winner, Kabuni will be deemed to have awarded such Prize to the winner with winner assuming full responsibility for such Prize.
California citizens: Each Entrant hereby acknowledges that they are familiar with Section 1542 of the Civil Code of California, which provides that “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release which, if known by him, must have materially affected the settlement with the debtor.” Accordingly, each Entrant hereby waives and relinquishes every right or benefit which they may have under Section 1542 of the Civil Code of California, and under any similar provision of any other applicable law, to the full extent that they may lawfully waive such right or benefit pertaining to this Contest and the Released Matters. Each Entrant further acknowledges that he or she may hereafter discover facts in addition to or different from those which they now know or believe to be true with respect to the subject matter of this Contest, but that it is each Entrant’s intention hereby fully, finally and forever, to settle and release the Released Parties from all Released Matters, disputes and differences, known or unknown, suspected or unsuspected, which now exist, may exist or heretofore existed, and in furtherance of such intention, the release given herein shall be and remain in effect as a full and complete release, notwithstanding the discovery or existence of any such additional or different facts.
Released Parties are not responsible for technical, hardware, software, telephone or other communications malfunctions, errors or failures of any kind, lost or unavailable network connections, website, Internet, or ISP availability, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of entry information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed computer transmissions which may limit one's ability to enter the Contest, including any injury or damage to your or any other person's computer relating to or resulting from participating in this Contest or downloading any materials in this Contest.
Further, the Released Parties assume no responsibility for any incomplete, incorrect, or inaccurate information, whether caused by website users, tampering, hacking, or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error. The Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, Entries. The Released Parties are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or Entry to be received by Kabuni on account of technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to any Entrant’s or any other person’s computer (or any information/material stored therein) relating to or resulting from participation in this Contest or downloading any materials in this Contest. Any person who supplies false information, obtains Entries by fraudulent means or is otherwise determined to be in violation of these Official Rules in an attempt to obtain any prize will forfeit any prize won and may be prosecuted to the full extent of the law. CAUTION: ANY ATTEMPT TO DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, KABUNI RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute as to the identity of any winner based on an e-mail address, the winning Entry will be declared made by the Authorized Account Holder of the e-mail address submitted at time of Entry.
RIGHT TO MODIFY, CANCEL OR SUSPEND CONTEST:
If for any reason this Contest is not capable of running as planned for any reason, including, without limitation, due to infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, fire, flood, storm, or other natural cataclysm, riot, strike, civil commotion, government regulation, or any other causes beyond the control of Kabuni which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest (or any part thereof), Kabuni reserves the right, in its sole discretion, to disqualify any individual who tampers with the Entry process, and to terminate, modify or suspend the Contest, in whole or in part, at any time, without notice and award any remaining Prizes using all non-suspect eligible Entries received as of or after (if applicable) this termination or suspension date. Kabuni may suspend or terminate this Contest or any Prizes in its sole discretion, for any or no reason.
CHOICE OF LAW AND DISPUTES:
Except where prohibited, as a condition of participating in this Contest, the parties agree that any and all disputes which cannot be resolved between the parties, any claims and causes of action arising out of or connected with this Contest, or any prizes awarded, or the determination of the winners shall be resolved individually. Each Entrant hereby waives any defenses based upon venue, the inconvenience of the forum, the lack of personal jurisdiction, the sufficiency of service of process or the like in any such action, suit or proceeding brought in British Columbia, Canada. Each Entrant irrevocably waives any right to bring or join in any class action regarding the Contest. Further, in any such dispute, under no circumstances will an Entrant be permitted to obtain awards for, and they hereby waive all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than actual out-of-pocket expenses (e.g., costs associated with entering this Contest), and each Entrant further waives all rights to have damages multiplied or increased.
